EXACT PARTNERS, LLC provides computer systems design and related services as described in the specific service agreement entered into with each client. The scope, deliverables, timelines, and fees for each engagement will be detailed in a separate statement of work or service agreement.
The client agrees to: provide accurate and complete information necessary for the delivery of services; grant reasonable access to facilities, systems, and personnel; obtain all necessary permissions and licenses; cooperate with our team in good faith throughout the engagement.
All intellectual property developed specifically for a client under a paid engagement shall be owned by the client upon full payment. EXACT PARTNERS, LLC retains ownership of any pre-existing tools, methodologies, and frameworks used in delivering services.
Fees for services are as set forth in the applicable service agreement or statement of work. Invoices are due within thirty (30) days of the invoice date unless otherwise specified. Late payments may incur interest charges at the rate of 1.5% per month or the maximum rate permitted by law.
Both parties agree to maintain the confidentiality of all proprietary information disclosed during the course of the engagement. This obligation survives the termination of the agreement for a period of three (3) years, or indefinitely for trade secrets.
EXACT PARTNERS, LLC warrants that services will be performed in a professional and workmanlike manner in accordance with industry standards. Services are provided "as is" and we make no other warranties, express or implied, including warranties of merchantability or fitness for a particular purpose.
To the maximum extent permitted by law, EXACT PARTNERS, LLC's total liability for any claim arising from or related to our services shall not exceed the total fees paid by the client for the specific service giving rise to the claim. Neither party shall be liable for indirect, incidental, or consequential damages.
The client agrees to indemnify and hold harmless EXACT PARTNERS, LLC from any claims, damages, or expenses arising from the client's use of our services, violation of these terms, or infringement of any third-party rights.
Either party may terminate an agreement with written notice as specified in the applicable service agreement. Upon termination, the client shall pay for all services rendered up to the effective date of termination. Sections relating to confidentiality, intellectual property, and limitation of liability survive termination.
You agree not to use our website for any unlawful purpose or in violation of these terms. You may not reproduce, distribute, modify, or create derivative works from our website content without our prior written consent.
